What Is 改善置换(Improvement Exchange)?

标准的1031置换是卖物业A、买物业B。改善置换是卖物业A,用资金买物业B并付翻修费——新屋顶、全屋翻新,都可以。QI先取得替代物业的产权,用你的置换资金监督施工,180天到期前把完工的物业过户给你。你必须把全部置换资金花掉才能避免Exchange Boot。结果是:延了税,还拿到一套按你规格定制的物业。

Improvement Exchange(改善置换)是一种1031置换(1031 Exchange的特殊形式——你把卖出物业的资金不仅用来购买替代物业,还用来给替代物业做翻修改造。合格中间人QI(Qualified Intermediary)持有替代物业产权,用你的置换资金支付施工费用,施工完成后在180天期限内把改善后的物业过户给你。

How It Works

结构设计。 你卖出持有物业,QI接收资金。你不买现成的替代物业,而是找一套需要翻修的物业(或空地)。QI用你的置换资金买下它,然后用剩余资金支付施工——建设、翻修、设备安装。QI全程持有产权。施工完成后(180天到期前),QI把改善后的物业过户给你。一笔交易,延税+增值,一步到位。

45天标识期。 你有45天标识替代物业。可以标识物业本身和计划中的改善工程。标识说明应该两者都包含——比如"123 Main St.,翻修内容包括更换屋顶、升级暖通空调、全屋内部翻新,详见附件施工范围。"

180天完工期。 所有翻修必须在卖出物业过户后180天内完成,物业过户到你名下。施工延误是最大的风险——错过截止日,整个置换可能失败。务必找有改善置换经验的QI,并提前拿到承包商的书面工期承诺。

避免Boot。 要完全延税,你必须把全部置换资金再投入(并承担等额或更高的债务)。买价$350,000加翻修$150,000等于花了$500,000。如果你的净收入是$500,000,完美。如果净收入是$520,000但你只花了$500,000,那$20,000就是Exchange Boot——要交税。提前规划翻修预算,确保能消化全部资金。

QI的角色。 改善置换中的QI不只是托管现金——他们要取得产权、签施工合同、管理资金流向。选一家有改善置换经验的QI。费用比标准置换高(通常$1,500-$3,000+)。

Real-World Example

刘强在纳什维尔做了一笔改善置换。

刘强在纳什维尔卖掉一栋稳定出租的四拼,卖价$500,000。还完贷款$200,000和过户费$15,000后,净收入$285,000。他标识了一套困境双拼,买价$350,000,需要$150,000翻修。他想翻新后做增值持有。

QI用$150,000置换资金(加上刘强另外$200,000自有资金补足购买款)买下双拼。然后QI用剩余$135,000置换资金支付翻修:新屋顶($25,000)、暖通空调($18,000)、厨卫翻新($55,000)、地板和油漆($37,000)。置换资金总支出:$285,000。全部花完。零Exchange Boot

第140天翻修完工。QI把改善后的物业过户给刘强。他延了税,拿到了一套翻新完毕的双拼——全部在180天窗口内完成。

  • 标识风险: 45天标识期内必须清楚描述翻修内容——描述模糊可能招致IRS审查
